The agreement

1.1These terms are an agreement between Maqetin, a company registered in Delaware, United States ("we", "us"), and the organisation that creates or uses a Maqetin workspace ("you"). The person who signs the order form confirms they have authority to do so for that organisation.

1.2Our data processing agreement forms part of these terms. If you have signed an order form with us, the order form takes priority where the two differ.

2

Your account

2.1The first person to sign up becomes the owner of the workspace and can invite teammates. Everyone signs in with a one-time code sent to their own email address.

2.2You are responsible for everything done through your workspace and your API keys. Keep the email accounts your team uses to sign in secure, keep secret API keys on your servers only, and tell us at security@maqetin.com if you think an account or key has been misused.

2.3Keep your account details accurate.

3

Using Maqetin

3.1While your agreement is in force, we give you a non-exclusive, non-transferable right to use Maqetin for your organisation's own customers, within the limits in your order form.

3.2You may add our software development kits to your own websites and apps. You may not resell Maqetin or use it to send messages on behalf of other organisations unless we have agreed to that in writing.

3.3We own Maqetin and everything we build into it. If you send us feedback, we may use it without owing you anything.

4

Acceptable use

4.1You must:

  • send marketing messages only to people who have agreed to receive them, and record that consent in Maqetin;
  • mark a message as transactional only when it is a receipt, a code, an alert or another message the person needs, and keep marketing out of it;
  • give the people you message the notices the law requires, including how you use Maqetin;
  • follow the rules of each channel and platform you use.

4.2You must not:

  • use purchased, rented, shared or scraped contact lists;
  • send content that is unlawful, misleading, harassing or harmful, or that promotes fraud;
  • send health, biometric or other special category data to Maqetin;
  • try to get around the limits we set, test or break our security, or interfere with other customers' use of Maqetin.
5

Sending and deliverability

5.1Email sending starts once we have approved your workspace. Until then you can send events, build journeys and preview messages.

5.2To protect every customer's delivery, we may pause sending from a domain when its DNS records stop verifying, or suspend a workspace when its bounce or complaint rates rise well above normal. The status of a sending domain shows why it was paused.

5.3When an address bounces permanently, is reported as spam or unsubscribes, Maqetin stops sending to it on that channel. You may not work around a suppression.

6

Your data

6.1The data you send to Maqetin belongs to you. You give us the right to process it only to provide Maqetin to you, as our data processing agreement sets out.

6.2You are responsible for having a lawful basis to collect the data you send us and to message the people it describes.

6.3You can export or delete any person's data at any time through the API.

6.4We may use statistics about how Maqetin performs, such as delivery rates across all customers, provided they do not identify you or any person.

7

Fees

7.1You pay the fees in your order form.

7.2Prices do not include taxes, which we add where the law requires.

7.3If a payment is more than 14 days late, we may suspend your workspace after giving you notice.

8

Availability and support

8.1We work to keep Maqetin available.

8.2We support you by email. An order form may include a service level agreement, with service credits.

9

Confidentiality

9.1Each of us will keep the other's non-public information confidential, use it only for this agreement, and share it only with people who need it and are bound to keep it confidential.

10

Suspension and ending

10.1You can cancel at any time by writing to legal@maqetin.com. Cancellation takes effect as your order form says.

10.2We may suspend a workspace that breaks these terms or puts other customers, the people they message, or Maqetin at risk. We will tell you why when we can.

10.3Either of us may end this agreement if the other seriously breaks it and does not fix the breach within 30 days of written notice.

10.4When the agreement ends, you have 30 days to export your data. We then delete it, as our data processing agreement describes.

11

Warranties

11.1We will provide Maqetin with reasonable skill and care, and it will work materially as these terms describe.

11.2Apart from that, and to the extent the law allows, Maqetin is provided as it is. Delivery of a message also depends on mailbox providers, networks and platforms we do not control, so we cannot promise that every message will arrive.

12

Liability

12.1Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue or goodwill.

12.2Each party's total liability under this agreement in any 12 months is limited to the fees you paid in those 12 months.

12.3These limits do not apply to your payment obligations, to either party's indemnities, or to liability that the law does not allow to be limited.

13

Indemnities

13.1You will defend and compensate us against claims arising from the data you send to Maqetin or the messages you send through it in breach of these terms or the law.

13.2We will defend and compensate you against claims that Maqetin itself infringes someone else's intellectual property rights.

14

Changes to these terms

14.1We will email workspace owners at least 30 days before a change to these terms takes effect. If you do not accept a change, you can cancel before it takes effect. Every version is listed below with what changed.

15

Law and disputes

15.1These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply. Our data processing agreement is governed by the laws of Ireland, as its section 13 sets out.

15.2We will both try to settle any dispute by talking first. If that fails within 30 days, the state and federal courts located in Delaware have exclusive jurisdiction, and each of us agrees to be bound by it.

15.3Either party may still ask any court with jurisdiction for urgent relief, such as an order to protect confidential information.

15.4Questions about these terms go to legal@maqetin.com.
